Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of the BeonAI platform and related services (collectively, the "Services") provided by BeonAI, Inc. ("Company", "we", "us", or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to all of these Terms, do not use the Services.

2. License to Access and Use

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your internal business purposes.

  • Updates: We may update the Services from time to time. You agree that the form and nature of the Services may change without prior notice.
  • Beta Features: From time to time, we may invite you to try "Beta" or "Early Access" features at no charge. You accept that these features are for testing purposes, may contain bugs, and may be discontinued at any time without liability.

3. User Accounts and Security

To access the Services, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain the security of your password and accept all risks of unauthorized access to your account.
  • Notify us immediately if you discover or suspect any security breaches related to the Services.

4. Subscriptions, Fees, and Payment

4.1 Subscription Plans

The Services are billed on a subscription basis ("Subscription"). You will be billed in advance on a recurring and periodic basis (such as monthly or annually), depending on the plan you select.

4.2 Free Trials

We may, at our sole discretion, offer a Subscription with a free trial for a limited period ("Free Trial").

  • Billing Info: You may be required to enter your billing information in order to sign up for the Free Trial.
  • Auto-Conversion: If you do enter your billing information, you will not be charged until the Free Trial has expired. On the last day of the Free Trial period, unless you cancelled your Subscription, you will be automatically charged the applicable Subscription fees for the type of Subscription you have selected.
  • Right to Cancel: At any time and without notice, BeonAI, Inc. reserves the right to (i) modify the terms and conditions of the Free Trial offer, or (ii) cancel such Free Trial.

4.3 Auto-Renewal

Your Subscription will automatically renew at the end of each billing cycle unless you cancel it through your account dashboard or contact our support team at least 24 hours prior to the renewal date.

4.4 Price Changes

We reserve the right to adjust pricing for the Services. Any price changes will take effect following email notice to you.

4.5 No Refunds

Except when required by law, paid Subscription fees are non-refundable.

5. Intellectual Property and Data Rights

5.1 Ownership of Platform

The Services, including all underlying software, algorithms, interfaces, and "BeonAI" branding, are the exclusive property of BeonAI, Inc. and its licensors.

5.2 Your Content

You retain all rights to the specific data, text, and inputs you submit to the Services ("User Content").

5.3 License to Provide Services

You grant us a limited, worldwide, non-exclusive license to use, host, and process your User Content solely for the purpose of providing, maintaining, and supporting the Services for you.

5.4 Service Optimization & Analytics

You acknowledge and agree that the Company may compile and use statistical, diagnostic, and usage data derived from your use of the Services ("Usage Data"). This Usage Data is aggregated and anonymized so that it does not identify you or your confidential information.

The Company may use this Usage Data to:

  • (a) Operate, improve, and optimize the Services;
  • (b) Develop new features, algorithms, and functionality; and
  • (c) Create general industry benchmarks and analyses. The Company retains all intellectual property rights in such aggregated Usage Data and any improvements to the Services derived specifically from it.

5.5 Feedback

If you provide suggestions regarding the Services, we may use them freely without obligation to you.

6. Third-Party Services

Our Services may integrate with or rely on third-party platforms and models (including but not limited to OpenAI, Google, and Stripe). We do not control these third parties. You acknowledge that we are not responsible for the availability, accuracy, or behavior of any third-party service, API, or model.

7. Prohibited Conduct

You agree not to:

  • Reverse engineer, decompile, or attempt to extract the source code of the Services.
  • Use the Services to violate any applicable law or regulation.
  • Interfere with or disrupt the integrity or performance of the Services (e.g., DDoS attacks).
  • Resell, sublicense, or distribute the Services to any third party without our prior written consent.
  • Use any robot, spider, scraper, or other automated means to access the Services for any purpose without our express written permission.

8. Indemnification

You agree to defend, indemnify, and hold harmless BeonAI, Inc., its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the Services;
  • Your violation of any term of these Terms;
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right.

9. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:

  • (A) The Services will meet your specific requirements;
  • (B) The Services will be uninterrupted, secure, or error-free;
  • (C) The results that may be obtained from the use of the Services will be accurate or reliable.

10. Limitation of Liability

To the maximum extent permitted by law, in no event shall BeonAI, Inc. be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. In no event shall our aggregate liability exceed the greater of one hundred dollars ($100) or the amount you paid us in the past twelve (12) months.

11. Dispute Resolution and Class Action Waiver

  • Governing Law: These Terms are governed by the laws of the State of Delaware.
  • Arbitration: Any dispute arising out of these Terms shall be resolved through binding arbitration.
  • Class Action Waiver: You and the Company agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative action.

12. General Provisions

  • Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
  • Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Services.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
